A local leading Insurance Group of Companies with international alliance is seeking to fill in the following vacancy:

Zimnat Group – Head Legal

Reporting to the Zimnat Group CEO. the essential duties and responsibilities will include:

 

Duties And Responsibilities


 

• Managing legal risks within the business units by providing legal advice to senior leadership on all legal matters
• Providing legal advice to the Board. Management and Staff of the Zimnat Group Business Units on matters of corporate law and ethics in compliance with good corporate governance principles
• Managing all legal affairs related to the structure of the organisation. its commercial licenses, and commercial law compliance
• Drafting and implementing key legal processes that relate to legal drafting. negotiations. and commercial settlement agreements
• Negotiating business transactions and providing legal advice on mergers and acquisitions. tender bidding. contract acquisitions etc.

• Identifying potential legal risks and proffering mitigation solutions to ensure identified risks are reduced and managed
• Ensuring compliance with all statutory regulations through the maintenance of a robust system for record-keeping of all statutory documents, as well as timely submission of returns to various designated offices and regulatory bodies and custody of the same in respect of each Group unit
• Advising management of developments in laws and regulations that may potentially affect the business and leading lobbying efforts on behalf of the Group
• Provide secretarial services to the Board. Shareholders. and Committees including convening the meetings. preparation of agenda and papers as well as drafting of minutes and extracting resolutions thereafter for the respective Group units
• Manage the outsourcing of legal services. issuance of instructions and briefings to external legal services providers
• Craft key communications in liaison with corporate affairs office engagements for the Group units

Qualifications And Experience


 

Key qualifications, experience & competencies
• An LLB Degree in Law from an accredited Law School/University
• At least 7 years of working experience in a commercial law firm or as in-house counsel in a fast-paced. fast-evolving and dynamic environment
• Experience in legal research, drafting/reviewing legal contracts and opinions; leading negotiations on complex. high-value business agreements: conducting and/or coordinating due diligence investigations
• A demonstrable track record of producing effective and high-quality legal advice to departmental heads within a business. leading to enhanced integrity in both internal and external affairs
• Proven experience in relationship management and a demonstrated ability to collaborate. prioritise strategic needs and subsequently drive value across all the businesses
• In-depth knowledge of relevant corporate governance and risk management legislation. codes and regulatory requirements that may impact financial services business operations
• A broad understanding of the financial services/investment industry would be advantageous
